Khi Tam Health Hub UK - Training and Business Development Agreement
This Agreement is made on , between:
1. Khi Tam Health Hub UK, a company registered in England and Wales with company number [Company Number], whose registered office is at [Registered Address] (“the() Company”); and
2. Nina Divall, residing at [Nina Divall's Address] (“the Trainee/Business Developer”).
Whereas:
A. The Company provides holistic health services, including Khi Tam Hand-on Therapy and Khi Tam Yoga Therapy. B. The Trainee wishes to undertake training in Khi Tam Hand-on Therapy and Khi Tam Yoga Therapy with Master Sridevi To Hai. C. The Company wishes to train the Trainee and engage her services in business development, health coaching, and nutritionist coaching.
Now, therefore, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:
3. Training:()
1.1. The Company agrees to provide the Trainee with 100 hours of training in Khi Tam Hand-on Therapy and 200 hours of training in Khi Tam Yoga Therapy. 1.2. The training will be conducted by Master Sridevi To Hai. 1.3. The training period will commence on 21st April 2025 and conclude on 21st April 2026. 1.4. The Trainee agrees to attend all training sessions and diligently participate in the learning process.
4. Business Development:
2.1. The Trainee will work as a Business Developer for the Company, promoting its services and generating sales. 2.2. The Trainee will receive a 10% commission on the sales income generated before VAT. 2.3. The Company will provide the Trainee with the necessary resources and support to perform her business development duties.
5. Health Coaching and Nutritionist Coaching:
3.1. The Trainee will provide health coaching and nutritionist coaching services to clients referred by the Company. 3.2. The income generated from these services will be split 60/40, with 60% going to the Trainee and 40% going to the Company. 3.3. The Trainee will maintain accurate records of client sessions and income generated.
6. Priority Recruitment:
4.1. Upon successful completion of the training period and satisfactory performance in business development, health coaching, and nutritionist coaching, the Trainee will be given priority consideration for a full-time staff position with the Company. 4.2. The Company will also consider the Trainee for shareholder status based on her performance and contributions. 4.3. The base salary for the full-time staff position will be £16 gross per hour.
7. Intellectual Property and Marketing:
5.1. The Trainee agrees that all photographs and videos taken of her during the training and work period can be used by the Company for international marketing purposes. 5.2. All intellectual property rights related to the training materials and Khi Tam Therapy techniques remain the sole property of the Company.
8. Confidentiality:
6.1. The Trainee agrees to maintain the confidentiality of all client information and business practices of the Company.
9. Termination:
7.1. This agreement may be terminated by either party with [Number] weeks’ written notice. 7.2. The Company may terminate this agreement immediately for gross misconduct or breach of confidentiality.
10. Governing Law:
8.1. This agreement shall be governed by and construed in accordance with the laws of England and Wales.
11. Entire Agreement:
9.1. This agreement constitutes the entire agreement between the parties and supersedes all prior agreements and()understandings.
